Any one has thoughts on C&G Environmental Protection? With such a high 80% majority ownership, does it look like it could be a privatisation candidate?

It's a tough decision for minorities. The Offeror does not intend to revise the Offer Price of S$0.135 in cash .....wtf, just keep the stock lah.

With only 76% of the stock in its hands, the Offeror is also in a bind as it is unable to delist the company.

That's the problem with the Offeror -- it refuses to acknowledge thru a higher offer that 13.5 cents is a lousy offer for minorities. The majority just wants the rich rewards for itself!!!!

The Offeror of k1Ventures is indeed obstinately unwilling to offer a higher price
I predict the stock will fall in trading today from 13.5 cents closing price yesterday.

The Offeror is basically saying, it wants to privatise the company -- but if you guys don't want to sell out the remaining 24%, the company stock will be  illiquid to the point it is as good as a private company. Take your choice.

Just ....76.09% acceptance as at 29 Aug, today.
It won't budge much from here on to the final final date of Sept 14. cos it's just a cheapo offer

The k1 Venture privatisation attempt is all but certain to fail, based on the pathetically low  76.09% acceptance level at this point. They are struggling to notch it up.

The final final deadline arrives on Sept 14, and the offer will fail if it garners less than 90% acceptance.  This is made clear in tonight's announcement:


5.1 The Offer is conditional on the Offeror having received, by the Final Closing Date, valid acceptances in respect of such number of Offer Shares which, when taken together with Shares owned, controlled  or agreed to be acquired by the Offeror or on its behalf and parties acting in concert with it, will result in the Offeror and its concert parties holding not less than 90% of the Shares as at the Final Closing Date (“Acceptance Condition Threshold”).

5.2 If the Acceptance Condition Threshold is not achieved by the Final Closing Date, the Offer will lapse and all Shares which were tendered for acceptance previously will be returned to the
respective Shareholders (in the case of Depositors, by crediting back to their respective securities accounts with CDP and in the case of persons registered as holders of Shares in the Register, by returning the FATs and the relevant share certificate(s) and/or any other documents).
