No one's going to miss Harry's Holdings with its ultra thin and ultra light profit.

There are numerous other stocks with far more compelling profit and growth potential -- take a look at Straco Corporation, which is already discussed in the forum

next one to go is Harry's Holdings. Offer at S$0.23 in cash, compared to stock price of around 17 cents. IPO price was 22 cents.

Privatisation so fast after being listed for less than 2 years and never made a mark on the investing community because the market cap is too tiny.

They would want to privatize so that they can enjoy 100% share in the company for a low price and enjoy the full 100% share of dividends instead of having to split it among shareholders. Also, privatizing would allow them to be free from public scrutiny and being able to pay themselves as much salaries and bonuses as the company's finances would permit. 

Transferring money is not a problem, they do it all the time for dividends.

Why would  the CEO/ major shareholder,privatise? Firstly they dont have money, and even if they do its difficult to remit the money out of China because of stringent rules. There are also costs and risks. Isn't it better to keep on collecting fat salaries/bonus for years to come ?

Mark my words. I don't believe there isn't any in the works. Not when a no. of good S-chips are trading at ridiculously low low valuations. The subst shareholders must be fed up, ok, so it's this bad we might as well try to privatise.!!!

Vested investors should go to the AGM of k1 Ventures next month, October.
Lots of tough questions to ask Mr Green and his board. (After that, enjoy the sumptious spread. Last year was at Four Seasons Hotel.)

How will the stock price of K1 Ventures behave next week? This whole takeover exercise has interestingly (and probably unintentionally, as far as Mr Green & Company are concerned) shone the light on the deep value in the stock. Certainly it is worth more than 13.1 cents (closing today) and 13.5 cents (the Offer price).

Good sense has prevailed among minority shareholders by refusing to accept a cheapskate offer.

Official announcement says: Accordingly, as at 5.30 p.m. on 14 September 2012, the total number of (a) Shares owned, controlled or agreed to be acquired by the Offeror and its Concert Parties, and (b) Shares comprised in valid acceptances to the Offer, amount to an aggregate of 1,680,862,338 Offer Shares, representing approximately 77.62% of the total number of issued Shares."

77.62% only!

Take away the 62.44% owned by the Offeror and its concert parties, and you get 15.18% of shares owned by minorities which accepted the offer.  If only the Offeror had offered a more decent figure like 20 cents!!!

The k1 Venture privatisation attempt is all but certain to fail, based on the pathetically low  76.09% acceptance level at this point. They are struggling to notch it up.

The final final deadline arrives on Sept 14, and the offer will fail if it garners less than 90% acceptance.

Gul Tech is 43% owned by Tuan Sing. ... imho, Tuan Sing shares have room to go up more today. Closed at only 30.5 cents yesterday.. +1.5 cents. only.

Shares of Gul Technologies Singapore Ltd jumped 18.8 percent yesterday ......to a five-year high, after it said a party may be exploring the possibility of making an offer for the electronics manufacturing company.

Can shareholders who have submitted their acceptance for the 13.5-cent takeover offer sell on the open market now?

I doubt it. Can you imagine a flood of selling after 14 Sept when the offer lapses?

The k1 Venture privatisation attempt is all but certain to fail, based on the pathetically low  76.09% acceptance level at this point. They are struggling to notch it up.

The final final deadline arrives on Sept 14, and the offer will fail if it garners less than 90% acceptance.  This is made clear in tonight's announcement:


5.1 The Offer is conditional on the Offeror having received, by the Final Closing Date, valid acceptances in respect of such number of Offer Shares which, when taken together with Shares owned, controlled  or agreed to be acquired by the Offeror or on its behalf and parties acting in concert with it, will result in the Offeror and its concert parties holding not less than 90% of the Shares as at the Final Closing Date (“Acceptance Condition Threshold”).

5.2 If the Acceptance Condition Threshold is not achieved by the Final Closing Date, the Offer will lapse and all Shares which were tendered for acceptance previously will be returned to the
respective Shareholders (in the case of Depositors, by crediting back to their respective securities accounts with CDP and in the case of persons registered as holders of Shares in the Register, by returning the FATs and the relevant share certificate(s) and/or any other documents).

The Offeror of k1Ventures is indeed obstinately unwilling to offer a higher price
I predict the stock will fall in trading today from 13.5 cents closing price yesterday.

The Offeror is basically saying, it wants to privatise the company -- but if you guys don't want to sell out the remaining 24%, the company stock will be  illiquid to the point it is as good as a private company. Take your choice.
